PLEASE READ THIS AFFILIATE AGREEMENT CAREFULLY. This Affiliate Agreement (the "Agreement") is made and entered into by you ("Affiliate") and RoomRite, Inc. ("Company").

The Agreement applies to your participation in our Affiliate Program (the “Affiliate Program”).  These terms are so important that we cannot have you participate in our Affiliate Program unless you agree to them.

1. Appointment

1.1 Company hereby appoints Affiliate as a non-exclusive affiliate to promote and market the Company's room block resale marketplace (the "Marketplace") in accordance with the terms and conditions of this Agreement.

1.2 Affiliate accepts such appointment and agrees to diligently promote and market the Marketplace in accordance with the terms of this Agreement.

2. Responsibilities of Affiliate

2.1 Affiliate shall use best efforts to promote and market the Marketplace through various channels, including but not limited to, websites, social media, email marketing, and other appropriate means.

2.2 Affiliate shall comply with all applicable laws, regulations, and guidelines in connection with its promotion and marketing activities.

2.3 Affiliate shall not engage in any activities that may harm the reputation of the Company or the Marketplace.

3. Compensation

3.1 In consideration for Affiliate's promotional efforts, Company shall pay Affiliate a commission on qualified sales generated through Affiliate's unique referral link or tracking code.

3.2 The commission rate and payment terms shall be as set forth in Exhibit A attached hereto and incorporated herein by reference.

4. Tracking and Reporting

4.1 Company shall provide Affiliate with access to a dashboard where Affiliate can track qualified sales.

4.2 Affiliate acknowledges and agrees that the tracking system used by Company shall be the sole determinant of whether a sale is qualified for commission.

5. Intellectual Property

5.1 Company hereby grants Affiliate a non-exclusive, non-transferable license to use the Company's trademarks, logos, and other marketing materials solely for the purpose of promoting and marketing the Marketplace in accordance with this Agreement.

5.2 Affiliate shall not modify or alter any Company trademarks, logos, or marketing materials without the prior written consent of Company.

6. Term and Termination

6.1 This Agreement shall commence upon the creation of Affiliate’s account on the Marketplace and shall continue in full force and effect until terminated by either party upon written notice.

6.2 Upon termination of this Agreement, Affiliate shall immediately cease all promotional activities and return or destroy any Company materials or information in its possession.

7. Miscellaneous

7.1 This Agreement constitutes the entire understanding and agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, relating to such subject matter.

7.2 This Agreement may be amended or modified periodically. Any changes will be communicated in writing.

7.3 This Agreement shall be governed by and construed in accordance with the laws of Florida, without regard to its conflicts of law principles.

EXHIBIT A:

COMMISSION STRUCTURE

The Company makes no representations or warranties regarding potential income that may result from the Affiliate Program. Commissions will be paid to the Affiliate on qualified sales generated through Affiliate's unique referral link or tracking code.

Affiliate commissions will be based on a percentage of Company’s commission on hotel room and cruise cabin sales on the Marketplace, not including any tax, hotel or cruise fees, services fees, late charges, or collection costs.

Commissionable Sales

1. The Affiliate is eligible to earn commission on hotel room or cruise cabin inventory added to the Marketplace through the Affiliate’s unique referral link or tracking code. The Affiliate will receive twenty percent (20%) of Company’s commission earned on purchased inventory.
   • Example: If $10,000 dollars in hotel room inventory is added to the Marketplace through the Affiliate’s unique referral link or tracking code; and $5,000 of the inventory is purchased, the Company may receive a 15% commission ($750) for the sold inventory. The Affiliate will receive $150, as a 20% commission on the Company’s $750 commission.
   • Affiliate commission is paid within 45 days after the inventory’s listing expires on the Marketplace.
2. The Affiliate is also eligible to earn commission on Marketplace transactions generated by purchasers associated with the Affiliate’s unique referral link or tracking code. The Affiliate will receive twenty percent (20%) of Company’s commission earned on purchased inventory.
   • Example: If a total of $5,000 dollars in hotel room inventory is purchased from a single listing on the Marketplace by an individual associated with the Affiliate’s unique referral link or tracking code; the Company may receive a 15% commission ($750) for the sold inventory, and the Affiliate will receive $150, as a 20% commission on the Company’s $750 commission.
   • Affiliate commission is paid within 45 days after the inventory’s listing expires on the Marketplace.
